RELIZON TERMS OF SERVICE

These Terms of Service (the “Terms”) govern your access to and use of relizon.ai, including all related websites, subdomains, landing pages, opt-in forms, portals, dashboards, software, applications, content, events, communications, and services provided by Relizon (collectively, the “Services”).
IMPORTANT NOTICE: These Terms include mandatory binding arbitration, a class action waiver, automatic subscription renewals, SMS consent provisions, disclaimers of warranties, and limitations of liability that affect your legal rights. Please read carefully.
1. COMPANY INFORMATION
The Services are owned and operated by Relizon LLC, a Delaware limited liability company, doing business as relizon.ai (“Relizon,” “we,” “us,” or “our”).
For branding and customer-facing purposes, we may be referred to simply as Relizon. Any future restructuring, affiliate creation, or corporate conversion shall not affect the enforceability of these Terms.

2. ACCEPTANCE OF TERMS
By accessing or using the Services in any manner — including but not limited to submitting an opt-in form, registering for a webinar or event, creating an account, clicking “I Agree,” signing a contract, paying an invoice, or using any Relizon software, AI agent, or service — you agree to be legally bound by these Terms and our Privacy Policy (together, the “Agreement”).
If you are using the Services on behalf of a business or other entity, you represent and warrant that you have authority to bind that entity.
3. ELIGIBILITY
You must be at least 18 years of age (or the age of legal majority in your jurisdiction) to use the Services.
4. SERVICES COVERED
These Terms apply to all Relizon offerings, including without limitation:
SaaS platforms, dashboards, CRM systems, and automation tools
AI agents, AI employees, chatbots, voice agents, workflows, and AI-powered systems
Digital marketing services, including SEO, GEO, AEO (Answer Engine Optimization), paid advertising, email and SMS marketing, content creation, funnels, and analytics
Consulting, strategy, advisory, coaching, and implementation services
Websites, web applications, mobile applications, custom software development, integrations, and APIs
Memberships, subscriptions, online communities, courses, trainings, and educational materials
Webinars, live events, recordings, and workshops
Some Services may rely on third-party platforms. Third-party terms may apply.
5. ORDERS, STATEMENTS OF WORK, AND PRIORITY
Certain Services may require a proposal, statement of work (“SOW”), order form, subscription agreement, or other written agreement (each, an “Order”).
Orders are incorporated into this Agreement
If a conflict exists, the Order controls only for that specific Service
All other matters are governed by these Terms
These Terms serve as Relizon’s master agreement across all opt-ins and engagements.
6. ACCOUNTS AND SECURITY
You are responsible for maintaining the confidentiality of your login credentials and all activity occurring under your account. You must notify Relizon immediately of any unauthorized access. Relizon is not liable for losses resulting from compromised credentials.
7. ACCEPTABLE USE
You agree not to use the Services to:
Violate any law or regulation
Infringe intellectual property, privacy, or publicity rights
Send unlawful, deceptive, or unsolicited communications
Interfere with system security or performance
Reverse engineer, scrape, or abuse any system
Misuse AI-generated outputs in unlawful or misleading ways
Relizon may suspend or terminate access for violations.
8. AI SERVICES AND OUTPUT DISCLAIMER
Relizon provides AI-powered tools, systems, automations, and content generation features as part of the Services. Artificial intelligence is inherently probabilistic and may produce inaccurate, incomplete, misleading, unexpected, or unsuitable outputs.
You acknowledge and agree that:
- AI-generated outputs are provided “as is” and “as available”
- You are solely responsible for reviewing, validating, testing, approving, and determining the suitability of all AI-generated outputs before use
- Relizon does not guarantee accuracy, completeness, originality, rankings, conversions, revenue, performance, compliance, or outcomes of any kind
- Relizon does not provide legal, financial, tax, accounting, medical, investment, or regulatory advice, and AI-generated outputs should not be relied upon as such
8.1 RELIZON AI CONTENT SERVICES (IMAGES, VIDEO, AND AI-GENERATED MEDIA)
In addition to other AI-powered tools, Relizon may provide AI-powered content generation features, including but not limited to image generation, video generation, and related creative media tools (“AI Content Services”). AI Content Services may be offered within Relizon BGM, within other Relizon portals or applications, or through related Relizon subdomains and interfaces.
Relizon may update, modify, expand, restrict, suspend, or discontinue any AI Content feature at its sole discretion, including models, capabilities, formats, quality settings, limits, availability, or pricing.
8.1.1 Third-Party AI Infrastructure Disclosure (AI Content)
Relizon may utilize trusted third-party artificial intelligence infrastructure providers to deliver certain AI Content Services. While the user experience may be fully branded and managed by Relizon, the underlying AI models, computing infrastructure, or processing services may be provided by third parties operating under their own terms, policies, and compliance obligations.
Relizon does not claim ownership of any third-party AI models and does not represent that the underlying AI technology is proprietary to Relizon.
8.1.2 User Responsibility for Inputs and AI-Generated Content
You are solely responsible for the prompts, instructions, inputs, files, materials, or other content you submit to the AI Content Services (“Inputs”), and for any images, videos, audio, text, or other media generated as a result of your Inputs (“AI-Generated Content”).
You represent and warrant that you own or have all necessary rights, permissions, and consents to submit your Inputs, and that your Inputs and AI-Generated Content comply with all applicable laws, regulations, and these Terms. Relizon does not pre-screen, pre-approve, or guarantee the legality, reliability, accuracy, or suitability of AI-Generated Content. You are solely responsible for reviewing and validating all AI-Generated Content before use.
8.1.3 Prohibited Uses (AI Content)
You agree not to use the AI Content Services to generate, create, distribute, or facilitate content that:
- Violates any applicable law or regulation
- Infringes intellectual property, privacy, publicity, or other rights
- Is defamatory, obscene, sexually explicit, pornographic, violent, hateful, discriminatory, harassing, or otherwise unlawful or harmful
- Exploits, harms, or attempts to harm minors
- Impersonates any individual or organization
- Is deceptive, fraudulent, or misleading
- Is used for unlawful surveillance, harassment, or abuse
- Is intended for political campaigning, election interference, or influencing the outcome of an election
Relizon reserves the right to restrict, suspend, or terminate access to AI Content Services if violations are suspected or confirmed.
8.1.4 Ownership and Licenses (AI Content)
As between you and Relizon, you retain ownership of your Inputs and of the AI-Generated Content you create, subject to applicable law and these Terms. Relizon does not claim ownership of your AI-Generated Content.
You grant Relizon a limited, non-exclusive, royalty-free license to store, process, display, transmit, and analyze Inputs and AI-Generated Content solely as reasonably necessary to provide, maintain, support, secure, and improve the Services, including for troubleshooting, analytics, abuse prevention, quality assurance, and compliance purposes.
8.1.5 No Guarantee of Accuracy, Uniqueness, or Fitness
AI-Generated Content is produced algorithmically and may be inaccurate, incomplete, unexpected, unsuitable for your intended purpose, or similar or identical to content generated for other users.
Relizon makes no guarantees regarding the accuracy, originality, non-infringement, uniqueness, legality, or fitness of AI-Generated Content for any purpose and disclaims all liability arising from your use of or reliance on AI-Generated Content.
8.1.6 Credits, Usage Limits, and Billing for AI Content
AI Content Services may be subject to usage limits, credit-based consumption, subscription plan allowances, and/or paid add-ons or upgrades. AI Content usage may be billed as part of Relizon BGM usage-based charges and/or deducted from a prepaid wallet or credits balance, as described in Section 20 (RELIZON BGM SAAS SUBSCRIPTION, USAGE-BASED BILLING, AND RESOLD COMMUNICATIONS) and as displayed in the platform, billing page, or checkout disclosures.
Relizon may adjust AI Content credit values, usage limits, models, or pricing at any time to reflect provider, infrastructure, model, token, compute, or operational changes, with notice provided through the platform or related communications as reasonably determined by Relizon.
8.1.7 Availability, Interruptions, and Failures
AI Content Services are provided on an “as available” basis. Relizon does not guarantee continuous availability, specific generation speeds, successful completion of every request, or uninterrupted operation. Failures, delays, timeouts, degraded output quality, or interruptions may occur due to technical limitations, maintenance, third-party infrastructure, or other factors.
8.1.8 Suspension and Termination (AI Content)
Relizon may suspend, restrict, or terminate your access to AI Content Services, with or without notice, if you violate these Terms, abuse usage limits, engage in prohibited activities, fail to maintain a sufficient balance where applicable, or create legal, security, compliance, or reputational risk. Unused credits may be forfeited to the maximum extent permitted by law, and usage charges are non-refundable once consumed, as further described in Section 20.
AI Data Usage and Training
Relizon does not use Customer Data, including prompts, inputs, outputs, messages, files, or business information, to train or improve any shared, public, or third-party artificial intelligence or machine learning models.
Customer Data is used solely for the purpose of providing, maintaining, and supporting the Services for that Customer.
Relizon may use aggregated, anonymized, or de-identified data that cannot reasonably be used to identify a Customer or their business to improve system performance, reliability, workflows, and service quality. Such data is not used to recreate, expose, or disclose Customer-specific information.
Relizon does not sell Customer Data and does not permit third parties to use Customer Data for their own AI training purposes, except as required to deliver the Services and subject to confidentiality obligations.
9. CLIENT RESPONSIBILITIES
You are solely responsible for:
The accuracy and legality of all data, claims, content, and materials you provide or approve
Obtaining all required consents for email, SMS, phone, and marketing communications
Compliance with all applicable laws, including CAN-SPAM, TCPA, FTC advertising rules, and privacy regulations
Backing up your data and maintaining your records
Relizon is not responsible for your regulatory or legal compliance.
10. SMS, EMAIL, AND COMMUNICATION CONSENT
By submitting your contact information to Relizon, you expressly consent to receive communications from us, including emails, phone calls, and SMS/text messages, using automated or manual systems, for service-related and marketing purposes.
Message and data rates may apply. You may opt out of SMS at any time by replying STOP.
11. PAYMENTS, FREE TRIALS, AND AUTO-RENEWALS
Relizon aims to provide transparent and fair policies so customers can make informed purchasing decisions and receive the full value of the services they choose.
11.1 Payments
You agree to pay all fees and applicable taxes associated with your purchase of Relizon services. Fees are billed in advance unless otherwise stated. Failure to pay may result in suspension or termination of Services.
11.2 Free Trials
If a Service includes a free trial, your payment method may be required at signup. Unless canceled before the trial period ends, your payment method will automatically be charged for the applicable subscription plan at the end of the trial period.
11.3 Subscriptions and Auto-Renewal
Relizon services may be offered on a subscription basis (monthly, annual, or other stated interval). Subscriptions automatically renew at the end of each billing period unless canceled before the renewal date.
By purchasing a subscription, you authorize Relizon to charge your payment method on a recurring basis for the applicable subscription fee until the subscription is canceled.
11.4 Annual Subscription Commitments
Annual subscription plans are offered at a discounted rate compared to monthly pricing and represent a commitment for the full subscription term.
Unless otherwise stated in writing at the time of purchase, annual subscriptions are non-refundable once the applicable refund guarantee period has expired.
Cancellation of an annual subscription prevents future renewals but does not result in refunds or prorated reimbursement for any unused portion of the current subscription term.
If an annual subscription is canceled, the customer may continue to access the platform and services for the remainder of the originally purchased subscription term. However, any promotional or grandfathered pricing associated with the canceled subscription may not be available for future purchases or renewals.
12. REFUNDS
Relizon aims to provide transparent and fair policies so customers can make informed purchasing decisions and receive the full value of the services they choose.
Refunds, if any, are governed by the applicable order, promotional offer, or product-specific policy provided at the time of purchase.
Unless expressly stated otherwise in writing, the following terms apply.
12.1 Refund Guarantee Periods
If a promotional offer includes a refund guarantee (for example, a 30-day money-back guarantee), refund requests must be submitted within the stated guarantee period beginning from the date of purchase or account activation, whichever occurs first.
Refund requests submitted after the guarantee period has expired will not be eligible for refunds.
12.2 Non-Refundable Services and Deliverables
The following items are non-refundable once delivered, activated, or performed:
* Setup, onboarding, and configuration services
* White-glove setup or custom implementation services
* Completed service time or platform usage
* Custom development work or consulting services
* Hardware devices or equipment provided as part of a package or promotion
* Promotional bonuses or bundled items
* Complimentary or promotional usage credits
* Event tickets, webinar registrations, or promotional program access
12.3 Promotional and Discounted Offers
Services purchased through promotions, webinars, events, or special offers may include discounted pricing, bundled services, or promotional bonuses. These offers are provided at a reduced price and are considered final sale once any applicable refund guarantee period has expired.
12.4 Service Credits
At its sole discretion, Relizon may offer account or service credits instead of refunds. Any such credits:
* have no cash value
* are non-transferable
* may only be used toward future Relizon services or products
12.5 Chargebacks and Billing Disputes
Relizon is committed to resolving billing concerns quickly and fairly.
By purchasing Relizon services, you agree to contact Relizon support to attempt to resolve any billing issues or disputes before initiating a chargeback or payment dispute with your payment provider.
Initiating a chargeback without first contacting Relizon to seek resolution may result in:
* suspension or termination of your Services
* loss of promotional pricing or account benefits
* ineligibility for future Relizon services
Relizon reserves the right to recover any outstanding balances, chargeback fees, or collection costs associated with improper payment disputes to the extent permitted by law.
13. INTELLECTUAL PROPERTY
13.1 Relizon Intellectual Property
Relizon owns all software, systems, workflows, AI configurations, methodologies, templates, prompts, branding, and materials (“Relizon IP”). You receive a limited, non-transferable license for internal business use only.
13.2 Client Materials
You retain ownership of materials you provide but grant Relizon a license to use them to deliver the Services.
13.3 Deliverables
Upon full payment, you receive a license to use final deliverables. Relizon retains ownership of underlying systems, frameworks, and reusable components.
14. CASE STUDIES AND TESTIMONIALS
Unless you notify Relizon in writing otherwise, you grant permission for Relizon to use your business name, logo, testimonials, and non-confidential results for marketing and case study purposes.
15. EVENTS, WEBINARS, RECORDINGS, AND CLIENT MEETINGS
Relizon may host, facilitate, or participate in live or recorded interactions, including but not limited to public or private events, webinars, workshops, trainings, coaching sessions, group sessions, conferences, community gatherings, onboarding calls, consulting meetings, support calls, and implementation or review sessions (collectively, “Sessions”).
Event and Group Sessions
For public or group-based Sessions (including webinars, workshops, group coaching, masterminds, and events), you acknowledge and agree that Relizon may record, photograph, livestream, or otherwise capture audio, video, images, chat messages, screen shares, and other content that may include your name, likeness, image, voice, statements, and participation (“Event Media”). You grant Relizon a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, reproduce, modify, publish, distribute, display, perform, and create derivative works from such Event Media, in whole or in part, in any format or medium now known or later developed, for lawful business purposes, including education, training, marketing, promotion, advertising, and internal use. Relizon owns all rights, title, and interest in and to the Event Media and any recordings or materials created in connection with such Sessions.
Client Meetings
For private or one-to-one Sessions with clients (“Client Meetings”), Relizon may record the Session with notice or consent, which may be provided verbally, in writing, electronically, or by continued participation after notice that recording is taking place. Any recordings, notes, transcripts, or materials created from Client Meetings (“Client Meeting Materials”) are used solely for purposes of providing the Services, internal documentation, training, quality assurance, and service improvement. Client Meeting Materials are treated as confidential information and are not used for public marketing, advertising, or promotional purposes without the client’s prior written consent.
Opt-Out and Limitations
If you do not wish to be recorded, you must notify Relizon in writing prior to the Session. Relizon does not guarantee the ability to exclude participants from recordings or media in live or group-based Sessions.
16. CONFIDENTIALITY
Both parties agree to protect non-public, confidential information and use it solely for purposes of this Agreement.
17. THIRD-PARTY SERVICES
Relizon is not responsible for third-party platforms, outages, changes, or failures.
18. FORCE MAJEURE
Relizon shall not be liable for delays or failures caused by events beyond its reasonable control, including acts of God, war, terrorism, labor disputes, pandemics, government actions, platform outages, or third-party system failures.
19. TERMINATION
Relizon may suspend or terminate Services for non-payment, violations, or legal risk. Termination does not relieve payment obligations already incurred.
20. RELIZON BGM SAAS SUBSCRIPTION, USAGE-BASED BILLING, AND RESOLD COMMUNICATIONS
20.1 Relizon BGM SaaS Platform
Relizon Business Growth Management (“Relizon BGM”) is a SaaS subscription platform within the Services that may include CRM tools, automation, AI agents, voice and messaging systems, email tools, workflows, analytics, funnels, and other software features, and may be offered on a monthly, annual, or other recurring subscription basis as described at checkout, in an Order, or within the platform.
20.2 Subscription + Usage-Based Charges
In addition to subscription fees, certain features are billed on a pay-as-you-go basis (“Usage Charges”) based on actual consumption, including but not limited to voice calls, SMS, WhatsApp, email sending, email verification, workflow executions, AI content generation, external AI model usage, reviews AI, funnels, and domain purchases.
Usage Charges may be billed by:
- deduction from a prepaid wallet or credits balance, and/or
- charging the payment method on file automatically.
20.3 Customer-Facing Usage Pricing Chart

- Domain Registration: $15 / domain
20.4 Variable Rates, Region Differences, and Third-Party Changes
Rates may differ by region, carrier, provider, AI model selected, and tokens consumed. Usage estimates are informational only. Relizon may update usage pricing at any time, including to reflect third-party provider changes, and will provide notice through the platform, billing page, checkout disclosures, and/or written communication as reasonably determined by Relizon.
20.5 Billing Disputes; Final Authority
You agree to review billing statements promptly. If you believe a billing error occurred, you must notify Relizon in writing at legal@relizon.ai within thirty (30) days of the charge. Relizon’s records and logs are the final authority for usage measurement, tracking, and billing determinations, except where prohibited by law.
20.6 Non-Refundable Usage; No Cash Value
Usage Charges are non-refundable once consumed. Prepaid balances, credits, or usage wallet amounts are not a bank account, are not insured, do not accrue interest, and have no cash value.
20.7 Suspension for Nonpayment or Insufficient Balance
Relizon may suspend usage-based features and/or the Services if payment fails, balances are insufficient, or there is suspected fraud, misuse, or compliance risk.
21. RELIZON DIGITAL LOYALTY CARD PROGRAM
21.1 Purpose of the Relizon Growth Card
The Relizon Growth Card is designed to support the growth and long-term success of Relizon customers and our community.
Relizon provides this program to encourage meaningful engagement, responsible participation, and shared progress. Growth Credits are issued out of care for our customers and our community, to support business growth and to help members continue to Live Dreams Daily.
21.2 Relizon Growth Credits
Relizon Growth Credits are loyalty credits that may be applied toward eligible Relizon services and approved offers.
Growth Credits:
Accumulate as they are earned
Decrease when they are redeemed
Do not expire while the account remains active
Are applied at checkout when eligible
Growth Credits are not cash, do not represent currency or stored value, and have no cash equivalent.
21.3 Welcome Credit
When a Relizon Growth Card is issued, the cardholder receives:
$100 Relizon Growth Credit
The welcome credit is issued one time per account.
21.4 Referral Rewards
Relizon rewards qualified referrals that become paying customers.
When a referred individual or business becomes a paying Relizon customer, the referrer receives:
250 Relizon Growth Credits per qualified referral
Referral credits are issued after payment is confirmed and are applied directly to the referrer’s Relizon Growth Card.
21.5 Engagement & Recognition Credits
Relizon may issue Growth Credits for participation, recognition, and milestones within the Relizon ecosystem.
21.6 Redeeming Growth Credits
Growth Credits may be applied toward eligible Relizon services, subject to availability and approval.
Redemption Limit:
Growth Credits may be applied to cover up to fifteen percent (15%) of the total project or service value per transaction.
Any remaining Growth Credits remain available for future use.
Redemption options, eligibility, and applicable services may vary.
21.7 Status Levels & Lifetime Participation
Relizon status levels reflect lifetime participation and contribution within the Relizon ecosystem. Status is based on total lifetime Relizon Growth Credits earned, not on the current redeemable balance.
Redeeming Growth Credits does not reduce, reset, or otherwise affect status.

Reserved for exceptional, long-term contributors
Reflects stewardship, trust, and shared vision
Invitation-only and granted at Relizon’s discretion
Status levels are permanent once achieved, subject to compliance with Relizon’s community standards and contractual obligations.
21.8 Affiliates & Growth Cards
Affiliates may receive:
A Relizon Growth Card with $100 welcome credit
250 Relizon Growth Credits for each qualified referral
Affiliate commissions and Relizon Growth Credits operate as separate programs and are governed by their respective terms.
21.9 Community Standards, Conduct & Enforcement
Relizon is built on a culture of integrity, reliability, intelligence, and kindness. These values guide how members interact, collaborate, and contribute to the community.
Participation in the Relizon Growth Card program and Relizon community requires conduct that aligns with these principles and supports the long-term success of our customers and community.
Conduct that may result in enforcement action includes, but is not limited to:
Dishonest, misleading, or unethical behavior
Disrespectful, unkind, or harmful communication
Unreliable conduct that disrupts commitments or projects
Actions that waste the time or resources of others
Behavior detrimental to Relizon’s culture, community, or customer success
Breach of contract, misuse of programs, or abuse of benefits
To protect the integrity of the Relizon ecosystem and the best interests of our customers and community, Relizon reserves the right, at its sole discretion, to:
Remove or revoke status levels
Forfeit Growth Credits
Suspend or terminate participation in the Growth Card program
Restrict or terminate access to Relizon services or community spaces
21.10 Fair Use & Program Integrity
Relizon reserves the right to review, verify, adjust, delay, or withhold Growth Credits in cases of error, misuse, fraud, or non-qualified activity.
21.11 Program Modifications
Relizon may modify, update, suspend, or discontinue the Relizon Growth Card program, including credit values, redemption rules, status qualifications, or benefits, at any time to ensure fairness, sustainability, and alignment with business and community goals.
Any updates will be communicated through official Relizon channels.
21.12 General
Growth Credits:
Are non-transferable
Cannot be exchanged for cash
Cannot be withdrawn or redeemed outside Relizon
Participation in the Relizon Growth Card program constitutes acceptance of these Terms & Conditions.
21.13 Digital Loyalty Card Clarifications
The Relizon Growth Card may be provided through a Digital Loyalty Card format (“ Relizon Digital Loyalty Card”) and may include a digital wallet, scannable card, QR code, customer portal, or similar mechanism. The Digital Loyalty Card is a program feature and does not create a stored-value account, gift card, or bank account.
22. AFFILIATE PROGRAM TERMS (RELIZON AFFILIATES / “DREAM MAKERS”)
22.1 Program Overview
Relizon may offer an affiliate or referral partner program (the “Affiliate Program”) that allows approved participants (“Affiliates,” also referred to as “Dream Makers”) to promote certain Relizon products or Services using a unique tracking link or code provided by Relizon.
Participation in the Affiliate Program is optional and subject to these Terms, any program dashboard terms, and any additional policies, guidelines, or offer-specific rules Relizon provides (collectively, the “Affiliate Rules”). If there is a conflict between these Terms and Affiliate Rules, the Affiliate Rules control only for the Affiliate Program.
Relizon may approve, reject, suspend, or terminate any Affiliate application at any time, with or without notice, at its sole discretion.
22.2 Eligibility and Enrollment
To participate, you must:
Be at least 18 years old (or the age of majority in your jurisdiction)
Provide accurate account, payment, and tax information as requested
Comply with all laws, including FTC endorsement guidelines and advertising laws
Not be prohibited from participating by law or by Relizon
Relizon may require verification of identity and may request additional documentation to comply with legal, tax, fraud-prevention, or payment processing requirements.
22.3 Affiliate Links, Tracking, and Attribution
Affiliates may receive a unique link, code, or tracking mechanism (“Affiliate Link”). You agree:
Not to alter, obscure, spoof, or manipulate Affiliate Links
Not to use deceptive redirects, cookie stuffing, forced clicks, or other improper tracking methods
Not to misrepresent traffic sources or conversions
That tracking is performed using Relizon’s systems and records, which are the final authority in the event of dispute
Relizon does not guarantee that tracking will be error-free and is not responsible for tracking failures caused by third-party systems, browser settings, ad blockers, device restrictions, network interruptions, or user behavior.
22.4 Commissions, Qualification, and Payout Terms
If Relizon offers commissions for an Affiliate campaign, commission rates, eligibility rules, and payout timing may be specified in:
The Affiliate dashboard
An Order or offer page
A written campaign announcement
A separate Affiliate agreement
Unless otherwise stated in writing by Relizon:
Commissions apply only to qualified purchases that are successfully tracked and collected
No commission is earned for transactions that are canceled, refunded, disputed/charged back, unpaid, reversed, fraudulent, or non-qualifying
Commissions may be delayed for verification, fraud review, return periods, or payment settlement
Relizon may set minimum payout thresholds, payout schedules, and payout methods, and may change them from time to time.
22.5 Taxes and Reporting
You are solely responsible for all taxes arising from commissions or other Affiliate compensation. Relizon may require tax forms and may withhold payments as required by law. If you fail to provide required tax information, Relizon may suspend or withhold payments until compliant.
22.6 Affiliate Representations and Prohibited Claims
Affiliates must promote Relizon honestly and may not make claims that are false, misleading, or not explicitly authorized by Relizon, including but not limited to:
Guaranteed income, results, or business outcomes
Guaranteed rankings, conversion rates, or performance
Misleading “partnership,” “employment,” or “official representative” claims
Claims that violate FTC endorsement rules, consumer protection laws, or platform policies
You must clearly disclose your affiliate relationship as required by the FTC and applicable laws (e.g., “I may earn a commission if you purchase through my link.”).
22.7 Prohibited Marketing Practices
Affiliates may not:
Use spam, unsolicited bulk email, or unlawful SMS/robocalls
Use deceptive ads, fake reviews, impersonation, or misleading scarcity
Bid on Relizon trademarks or brand terms in paid search ads unless expressly authorized in writing
Register domains, social handles, or accounts that impersonate Relizon or are confusingly similar
Misuse coupons, unauthorized discounts, or leaked offers
Engage in cookie stuffing, click injection, bot traffic, incentivized traffic without approval, or any fraudulent practice
Relizon may require removal or modification of any content or campaign at any time.
22.8 Intellectual Property and Brand Use
Relizon may provide brand assets (logos, images, copy, templates) for Affiliate use (“Affiliate Assets”). You receive a limited, revocable, non-exclusive, non-transferable license to use Affiliate Assets solely to promote approved Relizon offers during active participation.
You may not:
Modify logos or brand marks without permission
Use Relizon branding in a way that implies endorsement beyond the Affiliate relationship
Use Relizon IP outside the Affiliate Program
All goodwill arising from use of Relizon IP inures to Relizon.
22.9 Relationship to Loyalty Programs and Growth Credits
Affiliate commissions and Relizon loyalty programs (including the Digital Loyalty Card / Growth Card and Growth Credits) are separate programs governed by separate terms.
Unless explicitly stated otherwise by Relizon in writing:
Loyalty credits do not convert into cash commissions
Commissions do not convert into Growth Credits
Participation in one program does not guarantee access to the other
22.10 Suspension, Withholding, Chargebacks, and Adjustments
Relizon may suspend, withhold, reverse, or adjust commissions if Relizon reasonably suspects:
Fraud, abuse, manipulation, or prohibited marketing practices
Violation of these Terms or Affiliate Rules
Excessive refunds, chargebacks, disputes, or non-payment
Legal or compliance risk
If a customer refund or chargeback occurs, any related commission may be reversed or offset against future payouts.
22.11 Termination of Affiliate Participation
Either party may terminate Affiliate participation at any time. Upon termination, you must immediately:
Stop using Affiliate Links and Affiliate Assets
Remove Relizon branding where required
Stop representing yourself as an Affiliate
Relizon may continue to withhold or adjust commissions after termination for fraud review, refunds, disputes, chargebacks, or compliance review.
22.12 No Employment; Independent Contractor
Affiliates are independent contractors. Nothing in these Terms creates an employment, partnership, joint venture, agency, franchise, or fiduciary relationship. You have no authority to bind Relizon.
22.13 Limitation of Liability
Without limiting any other limitation in these Terms:
Relizon is not liable for tracking issues, lost commissions due to technical failures, or third-party platform restrictions
Relizon makes no guarantee that you will earn any commissions or income
Affiliate performance depends on factors outside Relizon’s control
22.14 Changes to the Affiliate Program
Relizon may modify, suspend, or discontinue the Affiliate Program, commission rates, qualification rules, payout schedules, or requirements at any time. Changes will be effective upon posting in the platform, dashboard, or official Relizon channels.
Your continued participation after changes constitutes acceptance.
22.15 Survival
Sections relating to intellectual property, confidentiality, compliance, indemnification, dispute resolution, and any payment adjustments necessary to address refunds, disputes, or fraud will survive termination.
23. DISCLAIMERS OF WARRANTIES
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” RELIZON DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
23.1 POLITICAL CAMPAIGNS, NEUTRALITY & REGULATED ACTIVITIES DISCLAIMER
Relizon provides website design, development, hosting, software configuration, automation, artificial intelligence tools, and technical infrastructure services only. Relizon remains politically neutral and does not participate in, influence, or control political decision-making, campaign messaging, policy positions, fundraising strategy, donor solicitation, or legal, regulatory, or campaign finance compliance determinations related to political or regulated activities.
You acknowledge and agree that you are solely responsible for ensuring that all political content, campaign activities, communications, donations, fundraising mechanisms, and data practices comply with all applicable local, national, and international laws, regulations, and platform requirements, including without limitation election laws, campaign finance regulations, advertising rules, and data protection requirements. Relizon does not provide legal, political, or regulatory advice, and no services provided by Relizon shall be construed as such.
Any claims, investigations, enforcement actions, penalties, fines, losses, damages, or liabilities arising out of or related to political content, campaign activities, fundraising, donations, communications, or regulatory non-compliance shall be the sole responsibility of the Client and subject to the indemnification obligations set forth in these Terms.
23.2 HIGH-RISK & REGULATED ACTIVITIES DISCLAIMER
Relizon may provide website design, development, hosting, software configuration, automation, artificial intelligence tools, and technical infrastructure services to clients operating in regulated, high-risk, or compliance-sensitive industries, including without limitation financial services, investment activities, cryptocurrency, healthcare, wellness, education, legal services, real estate, e-commerce, and online marketplaces.
Relizon does not provide legal, financial, medical, investment, tax, or regulatory advice, and does not verify, monitor, or ensure compliance with applicable laws, regulations, licensing requirements, disclosures, professional standards, or platform rules applicable to such industries. The Client is solely responsible for determining, implementing, and maintaining compliance with all applicable legal and regulatory obligations.
The Client agrees that any reliance on content, automation, artificial intelligence outputs, recommendations, or technical systems provided by Relizon is at the Client’s sole risk. Relizon shall not be responsible for business outcomes, regulatory actions, financial losses, platform enforcement actions, or third-party claims arising from the Client’s operations or use of the Services.
24. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
RELIZON SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF:
(A) FEES PAID IN THE THREE (3) MONTHS PRIOR TO THE CLAIM, OR
(B) $2,000 USD
25. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Relizon from any claims arising from your use of the Services, your content, your communications, or your violation of law or third-party rights.
26. DISPUTE RESOLUTION – BINDING ARBITRATION
Informal Resolution
You agree to contact legal@relizon.ai and attempt good-faith resolution before initiating a claim.
Arbitration
Any dispute shall be resolved by final and binding arbitration administered by the American Arbitration Association (AAA).
Venue
Arbitration shall take place in Delaware, USA, unless otherwise agreed.
Class Action Waiver
Claims may be brought only on an individual basis, not as part of a class or representative action.
Opt-Out
You may opt out of arbitration within 30 days of first accepting these Terms by emailing legal@relizon.ai.
27. GOVERNING LAW
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
28. DMCA
Copyright notices must be sent to legal@relizon.ai in compliance with the Digital Millennium Copyright Act.
29. ELECTRONIC SIGNATURES
Electronic acceptances, signatures, and communications are legally binding.
30. SEVERABILITY
If any provision is found unenforceable, the remaining provisions shall remain in full force and effect.
31. ENTIRE AGREEMENT
These Terms, together with any Orders, constitute the entire agreement between you and Relizon and supersede all prior discussions or representations.
